Terms of service

1. Acceptance of terms

By installing, accessing, or using Convi ("the Service"), provided by Nextwave Digital Ltd ("Convi", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

These terms apply to all users of the Service, including merchants who install the Shopify app and the shoppers who interact with the chat widget.

2. Description of service

Convi is an AI shopping assistant for Shopify stores. The Service includes:

• An AI chat widget for storefront support
• Product search and recommendations
• Order tracking and management
• An analytics dashboard and conversation insights
• Integration with third-party helpdesk platforms

The Service is provided "as is", and we continuously improve and update features.

3. Eligibility and account

To use Convi, you must have an active Shopify store, install the app through the Shopify App Store, and be authorized to enter into these terms on behalf of your business. You are responsible for:

• Maintaining the security of your Shopify account
• All activity that occurs under your account
• Ensuring your use complies with Shopify's terms of service
• Providing accurate and up-to-date information

4. Billing and payments

Convi uses Shopify's built-in billing system. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your chosen plan
• Accept that charges appear on your Shopify invoice
• Understand that plan changes take effect immediately
• Accept overage charges for conversations beyond your plan's included allowance, up to the usage cap shown when you approve the plan

New shops get a one-time 7-day free trial with no charge. Paid plans are billed every 30 days and start without trial days.

5. AI-generated content

Convi uses artificial intelligence to generate responses to shopper inquiries. You acknowledge that:

• AI responses may occasionally be inaccurate or incomplete
• You are responsible for reviewing and configuring AI behavior
• Convi provides tools to customize, correct, and improve AI responses
• The AI is designed not to provide harmful or misleading information
• Human handover is available for complex or sensitive inquiries

We recommend regularly reviewing conversation logs and feedback to ensure AI quality.

6. Data, privacy, and data processing

Your use of the Service is governed by our Privacy Policy. In summary:

• We access your Shopify store data to power AI responses
• Shopper conversation data is stored securely and encrypted
• We do not sell your data or use it to train models for other merchants
• You can request data deletion at any time

Where we process your shoppers' personal data on your behalf, you are the data controller and Convi is the data processor; our Data Processing Agreement applies and forms part of these terms.

7. Intellectual property

Convi, including its software, technology, and content, is owned by Nextwave Digital Ltd and protected by intellectual-property laws. You retain ownership of your store data and the content you provide, and you grant us a limited license to process it solely to provide and improve the Service.

8. Acceptable use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe the rights of others
• Distribute harmful, abusive, or misleading content
• Attempt to reverse-engineer or compromise the Service
• Use the Service for any purpose other than its intended function
• Exceed rate limits or abuse API access

9. Limitation of liability

To the maximum extent permitted by law, Convi (Nextwave Digital Ltd) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Convi (Nextwave Digital Ltd) from any third-party claims, damages, or expenses arising from your use of the Service, your content, or your violation of these terms or applicable law.

11. Termination

Either party may terminate this agreement at any time:

• You can uninstall Convi from your Shopify admin at any time
• We may suspend or terminate your access for violation of these terms
• Upon termination, your data will be deleted within 90 days, except where retention is required by law
• Termination does not affect any rights or obligations that accrued beforehand

12. Governing law and disputes

These Terms of Service are governed by the laws of British Columbia, Canada, without regard to conflict-of-law rules. Any dispute arising from these terms or the Service will be subject to the courts of British Columbia, except where mandatory consumer-protection law in your jurisdiction provides otherwise.

13. Changes to terms

We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms here. Continued use of the Service after changes take effect constitutes acceptance. These terms are version 2.0, effective May 10, 2026.
